Terms of Service

1. Acceptance of terms
These Terms of Service ("Terms") form a binding agreement between you and Salish Studios LLC ("Salish Studios," "we," "us," or "our") governing your use of CertCove (the "Service"). By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. Description of the Service
CertCove is a business tool that helps organizations request, track, and review certificates of insurance and W-9 forms from their subcontractors and vendors. Features include tokenized upload requests, automated reminder and renewal chasing, AI-assisted extraction and pass or fail checks against configured requirements, and audit-ready exports.
3. Accounts and eligibility
You must provide accurate account information and keep it up to date. You are responsible for all activity that occurs under your account and for the actions of users you invite to your organization. The Service is intended for business use by organizations and by individuals who are at least 18 years old.
4. Customer data and responsibilities
You are responsible for the vendor, subcontractor, and document data you enter or upload to the Service ("Customer Data"), including for confirming that you have the right to collect and submit that data and to receive documents from third parties on your behalf. You retain all rights in your Customer Data. You grant us a limited license to host, process, and display Customer Data solely to provide the Service to you.
5. Decision-support disclaimer
CertCove is a decision-support tool. Automated extraction and pass or fail checks assist your compliance process; they do not guarantee insurance compliance, coverage, or the accuracy of any certificate.
Extracted values may contain errors. You are responsible for verifying results against the original documents and against your own insurance and contractual requirements. CertCove does not provide insurance, legal, tax, accounting, or other professional advice, and we are not an insurance broker, agent, producer, or advisor. Automated review assists your compliance process; verify against original documents.
6. Acceptable use
You agree not to:
- Use the Service for any unlawful or harmful purpose.
- Upload data or documents you do not have the right to collect or share.
- Attempt to breach the security of the Service, access accounts or data that are not yours, or interfere with other users.
- Reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent applicable law expressly permits.
- Generate abusive volumes of requests or otherwise disrupt the Service.
7. Subscriptions and billing
Paid plans, when introduced, will be billed on a recurring subscription basis through Stripe. Fees, billing cycles, and applicable taxes will be presented before you subscribe. Unless required by applicable law, fees are non-refundable, and you remain responsible for charges accrued through the end of the then-current billing period following cancellation. Billing is not currently active; when it becomes active, additional billing terms may apply and will be presented at that time.
8. Intellectual property
The Service, including its software, design, and content that we provide (excluding Customer Data), is owned by Salish Studios and protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for your internal business purposes.
9. Disclaimers
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty arising out of course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components, or that extracted data will be accurate or complete.
10. Limitation of liability
To the maximum extent permitted by law, in no event will Salish Studios be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Service. Our aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of one hundred U.S. dollars or the amounts you paid us for the Service in the twelve months preceding the event giving rise to the claim.
11. Indemnification
You will defend, indemnify, and hold harmless Salish Studios and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your Customer Data, your use of the Service in violation of these Terms, or your violation of any law or the rights of a third party.
12. Termination
You may stop using the Service at any time and cancel your account by contacting us. We may suspend or terminate your access to the Service if you breach these Terms or if we reasonably believe your use poses a security or legal risk. Upon termination, your right to use the Service ends. For a reasonable period following termination, and subject to our normal availability, you may request an export of your Customer Data before it is deleted in the ordinary course.
13. Governing law and disputes
These Terms are governed by the laws of the State of Washington, USA, without regard to its conflict of laws principles. The state and federal courts located in Washington will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and each party consents to personal jurisdiction and venue in those courts.
14. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the effective date above and, when appropriate, notify account owners by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
